COMPASSION’S TERMS OF USE



1. INTRODUCTION AND ACCEPTANCE OF USE


Welcome to Compassion’s MAX+ site. Please read these Terms of Use carefully before using the website. By accessing and/or using the website you are agreeing to comply with the Terms of Use, which may change from time to time at Compassion’s sole discretion.


You agree that these Terms of Use are supported by good and valuable consideration, the receipt and sufficiency of which you hereby acknowledge. Such consideration includes, without limitation, your use of the Website and the materials and information available on the same. You understand and agree that this is a closed website intended only for Compassion’s employees, employees of affiliated offices, and Compassion’s contractors who under a current contract. You acknowledge and agree that if you have accessed this private web site without authorization that you are unlawfully and wrongfully doing so.



The Website is not intended for viewing or use by anyone other than an Authorized individual and Compassion reserves the right to refuse, restrict or terminate access to any or the entire Website at any time for any reason.


2. INTELLECTUAL PROPERTY

Compassion International, Inc. owns or has obtained the copyright license to all Intellectual Property (“IP”) in Compassion’s MAX+ site. Compassion’s IP consists of, but is not limited to the following: any literary work, photograph, video, story, biography, URLs, documentation, mixed media, trademarks, logos, etc. Compassion’s IP and use of the IP meets Compassion’s dignity and branding standards.

3. WEBSITE ACCESS AND USE

Subject to all of the terms and conditions of the Terms of Use, Compassion grants to you a non-exclusive, revocable, non-assignable license (“License”) to access the Website and download, or otherwise use the Website Content for non-commercial use for the express purpose of promoting Compassion.

Contractors agree that when using the Website Content you will not edit, alter, modify or translate any of the Website Content, such as video’s, B-roll and/or stories, without Compassion’s express prior written approval. Unauthorized use of the Website Content may be a violation of law which may result in civil and criminal liability. Compassion has the right to enforce its intellectual property rights to the fullest extent of the law.

Except as expressly permitted in these Terms of Use, you may not use, reproduce, distribute, create derivative works based upon, publicly display, publicly perform, publish, transmit, transfer, sell, or otherwise exploit Website Content for any purpose whatsoever without obtaining prior written consent from us or, in the case of third-party content, its respective owner.

Your use of the Website Content will not violate any law or regulation, and when using the Website, you will comply with all applicable federal, state and local laws including, without limitation copyright law and you will abide by Compassion’s sensitive messaging standards.

4. RESERVED RIGHTS

Except for the limited use rights granted to you in these Terms of Use and any Rights Agreement, you shall not acquire any right, title or interest in the Website or any Website Content. Any rights not expressly granted in these Terms of Use are expressly reserved. You acknowledge and agree that you do not acquire any ownership rights by virtue of downloading any Website Content from the Website. Compassion will at all times, anywhere in the world, have the right to use or authorize others to use the Website Content in any manner it may desire.

5. USER REGISTRATION

When you register to become an Authorized User, you represent and warrant to Compassion Network that: (a) you are using your actual identity; (b) the information you provide to Compassion Network about you and your organization is true, complete, correct, and current; (c) you will maintain and promptly keep that information up to date; (d) you are of sufficient legal age (in your state/province or territory of residence) and mental capacity to enter into these Terms of Use; (e) you have the authority on behalf of your organization to enter into these Terms of Use, and you have read and understand same and agree to bound by them; (f) you have a legitimate business need to access the Website and Website Content and you will only use the Website Content for authorized business purposes; and (g) you have no personal or proprietary interest in the Website Content. Additionally you agree that you are responsible for safeguarding and maintaining the confidentiality of the Account information. You are solely responsible for the activity that occurs under your Account, whether or not you have authorized the activity. You agree that you will (i) not sell, transfer or assign your access to the Website or Account information to any third party or otherwise provide access to any third party. Compassion reserves the right to periodically require you to change your password.

6. TERMINATION

We reserve the right in our sole discretion and at any time to terminate or suspend your Account and/or block your access to the Website or Website Content for any reason including, without limitation if you have failed to comply with the letter and spirit of these Terms of Use or any Rights Agreement. You agree that Compassion shall not be liable to you or any third party for any termination or suspension of your Account or for blocking your access to the Website or the Website Content.

For any of the Website Content, Compassion will have the right to terminate the Rights Agreement and to withdraw authorization granted thereunder in the event that in Compassion’s sole business judgment Compassion deems it appropriate to do so.
Any suspension or termination shall not affect your obligations to us under these Terms of Use.

7. WITHDRAWAL OF WEBSITE CONTENT

For any of the Website Content, Compassion will have the right to terminate the Terms of Use and to withdraw authorization granted thereunder in the event Compassion no longer controls the rights necessary to grant the rights thereunder or in the event that in Compassion’s sole business judgment Compassion deems it appropriate to do so.

8. CHOICE OF LAW.

These Terms of Use shall be construed in accordance with the laws of the State of Colorado without regard to its conflict of laws rules.
